Acquisition will support Jensen Hughes’ global expansion, engineering capabilities and strategic growth, with Dr. Hisham Mahmoud set to become chairman

New Mountain Capital has entered into a definitive agreement to acquire Jensen Hughes, a global fire protection engineering and nuclear risk engineering firm, from Gryphon Investors.

Alongside the acquisition, New Mountain announced plans to appoint Dr. Hisham Mahmoud as Chairman of the Board once the transaction closes. Dr. Mahmoud currently serves as a Senior Advisor at New Mountain, where he supports the firm’s infrastructure services investment strategy.

The investment firm said it has followed Jensen Hughes for more than a decade as part of its focus on infrastructure services and engineering and consulting businesses. It said the acquisition will support the company’s continued global growth, investment in technical capabilities and strategic acquisitions.

New Mountain said the acquisition reflects its continued investment in engineering and consulting businesses that provide mission-critical infrastructure services, with Jensen Hughes expected to expand its technical expertise and international presence under the firm’s ownership.

Financial terms of the transaction were not disclosed. The acquisition is expected to close in the fourth quarter of 2026, subject to customary regulatory approvals and closing conditions.
